| Definitions |
|
The 'Buyer' means the individual or organisation that buys or agrees to buy the Goods from the Seller. The 'Agreement' means the contract between the Seller and the Buyer for the sale and purchase of Goods incorporating these Terms and Conditions. The 'Services' means the maintenance plan that the Buyer agrees to buy from the Seller. The 'Equipment' means articles bought from the Seller. The 'Seller' means Iview Cameras Ltd. 'DIY Equipment' means Equipment purchased from the Seller by the Buyer and installed by the Buyer or the Buyer's nominated installer. 'Terms and Conditions' means the terms and conditions of sale set out in this document and any special terms and conditions agreed in writing by the Seller. 'iCare Support' is a service of IViewCameras Ltd.

| Terms & Conditions |

These Terms and Conditions shall apply to all contracts for the sale of Services by the Seller to the Buyer and shall prevail over any other documentation or communication from the Buyer. Any variation to these Terms and Conditions (including any special terms and conditions agreed between the parties) shall be inapplicable unless agreed in writing by the Seller. Standard Equipment Warranty (without iCare Support) Equipment supplied is guaranteed against defective materials for a period of 12 months from the date of shipment by the Seller. Should any fault develop with the Equipment during this 12 month period, the Equipment shall be returned by the Buyer to the Seller and the Equipment will be repaired or replaced, at the discretion of the Seller and at no charge to the Buyer. Any costs incurred in the removal and reinstallation of the Equipment is to be borne by the Buyer.

Equipment Support with iCare |
|
The Seller is the sole provider of iCare Support. The Buyer is entitled to iCare Support on a monthly as a result of paying the appropriate fee by Direct Debit in advance. The Seller will replace any faulty, broken or non working Equipment. The Seller's help desk will endeavour to assist the Buyer, to ensure the Equipment is faulty, broken or non-working, rather than suffering from an installation and/or set up error. If the problem cannot be resolved in this manner the appropriate piece of Equipment will be replaced. The Buyer is entitled to have any damage caused by vandalism or graffiti made good, providing the event that caused the damage has been captured and recorded by the Equipment.

iCare Support for DIY Equipment |
|
If the Buyer has contacted the Seller's iCare Support help desk by 3pm, the replacement DIY Equipment will be delivered to the Buyer by courier, to arrive the next working day. The Buyer will be responsible for returning the faulty, broken or non-working DIY Equipment, using the packaging supplied with the replacement DIY Equipment via the same courier, at the time the replacement DIY Equipment is delivered. The Buyer must ensure the DIY Equipment being returned is packed in such a manner as to ensure its safe return to the Seller. The Buyer will receive a 'cash back' voucher equivalent to 6 months iCare Support fees, if after 3 years they have not used iCare Support. The voucher will entitle the Buyer to money off the purchase of any Equipment sold by the Seller. The voucher will be valid for a period of 6 months from date of issue.

Duration of iCare Support Agreement |
|
The Buyer is entitled to receive the service under this Agreement for the period for which they have paid by Direct Debit in advance. For the avoidance of doubt, this means that a payment at the beginning of the month will ensure iCare Support service is valid for the month following payment. In the event no payment is forthcoming the following month, the Buyer is deemed to have cancelled the Agreement. The Buyer has the right to do this at any time. In the event of an error with the Direct Debit collection through no fault of the Buyer, the Agreement may be reinstated providing payment is made within 2 weeks of notification of failure to collect the Direct Debit by the Seller. The Seller reserves the right to decline to continue with this Agreement at the end of any payment period and will notify the Buyer accordingly. The Agreement is subject to a maximum of 36 monthly Direct Debit collections for DIY Equipment.

| Force Majeure |
|
In the event of contingencies beyond the control of the Seller (such as fire, accident, war, flood, strikes, lock-outs, civil disturbances or any case of Force Majeure) or of any other cause interfering with the manufacture or delivery of the Equipment, the Seller will not be liable for any loss caused by non-delivery or delay, or postponement of delivery.

Governing Law and Jurisdiction |
|
The Agreement and these Terms and Conditions shall be governed by the laws of England, and the Buyer agrees to submit to the non-exclusive jurisdiction of the English courts. Any dispute arising under or in connection with these Terms and Conditions or the sale of the Equipment, shall be referred to arbitration by a single arbitrator appointed by Agreement. If any provision of these Terms and Conditions is held by any competent authority to be invalid or unenforceable in whole or in part, the validity of the other provisions of these Terms and Conditions and the remainder of the provision in question shall not be affected.
